1. Introduction

These Terms of Service ("Terms") govern your access to and use of the RelayPost email delivery platform ("Service"), operated by RelayPost, Inc. ("RelayPost," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you're using RelayPost on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Responsibility

3.1 Eligibility

You must be at least 18 years old to use RelayPost. The Service is designed for businesses and developers — it is not intended for personal consumer email.

3.2 Account Security

You are responsible for:

  • Keeping your credentials secure — this includes your account password, API keys, and SMTP credentials
  • All activity under your account — whether authorized by you or not
  • Notifying us immediately if you suspect unauthorized access

RelayPost supports two-factor authentication (2FA). We strongly recommend enabling 2FA on all accounts.

3.3 Organization Responsibility

Each Organization has an owner who is ultimately responsible for all email sent through the Organization's domains, API keys, and SMTP credentials, and for ensuring compliance with applicable email regulations.

4. The Service

4.1 What RelayPost Provides

  • Email sending via REST API and SMTP (ports 587 and 465)
  • Domain management with DKIM, SPF, and DMARC verification
  • Email templates for reusable message content
  • Delivery analytics including delivery status, bounce rates, and open tracking
  • Webhook notifications for real-time delivery events
  • Suppression list management
  • Team collaboration with role-based access
  • Audit logging of organization-level actions

4.2 Email Delivery is Best-Effort

Important: RelayPost facilitates email delivery but does not guarantee that every email will be delivered to the recipient's inbox. Email delivery depends on many factors outside our control, including recipient mail server availability, spam filters, your sender reputation, and email content.

5. Subscription Plans and Billing

5.2 Billing

Paid subscriptions are billed monthly in advance in USD. Invoices are available in your Organization settings.

5.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle. We will notify you of price changes at least 30 days before they take effect.

5.4 Cancellation

You may cancel at any time from your Organization settings. Cancellation takes effect at the end of the current billing cycle. No prorated refunds for partial periods.

6. Acceptable Use

Your use of RelayPost is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Key prohibitions include sending spam, phishing, malware, and using purchased email lists. Violation may result in immediate suspension or termination.

7. Domain Verification

You must verify ownership of any domain you use to send emails through RelayPost by configuring the required DNS records (DKIM, SPF). You represent that you own or are authorized to use each domain you register.

8. Data and Content

You retain all rights to the content you send through RelayPost. We do not claim ownership of your data.

9. Intellectual Property

The Service, including its software, design, documentation, and APIs, is owned by RelayPost. These Terms do not grant you any rights to our IP except the limited right to use the Service. We do not acquire any IP rights in your email content or templates.

10. Suspension and Termination

10.1 Suspension by RelayPost

We may suspend your access immediately if you violate the AUP, your sending harms our infrastructure, your bounce rate exceeds 5% or complaint rate exceeds 0.1%, or we receive a valid legal order.

10.2 Termination by RelayPost

We may terminate with 30 days' notice for repeated AUP violations, non-payment (after 14-day grace period), or uncured breach. We may terminate immediately for severe violations (phishing, malware, illegal activity).

10.3 Effect of Termination

Upon termination, access ceases immediately. Email content and metadata are deleted within 30 days. Account data may be retained for up to 90 days for legal compliance.

11. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, RelayPost disclaims all warranties, express or implied.

RelayPost's total liability shall not exceed the greater of the amount you paid in the 12 months preceding the claim, or $100 USD. RelayPost shall not be liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify RelayPost from claims arising from your use of the Service, violation of these Terms or the AUP, violation of applicable law, or the content of emails you send.

13. Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Before filing any formal dispute, you agree to attempt informal resolution for at least 30 days by contacting [email protected]. Unresolved disputes will be settled through binding arbitration under AAA rules.

14. General Provisions

These Terms, together with the Privacy Policy, AUP, DPA, and any applicable SLA, constitute the entire agreement. If any provision is found unenforceable, the remaining provisions remain in effect. RelayPost is not liable for delays caused by events beyond our reasonable control.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.
